Appointment, term of office and revocation
In companies where the chairman of the board is not also the general manager, a general manager, who must be an individual, is appointed by the board of directors either from among its members or from outside. The board of directors may freely determine the length of his term of office, which is renewable. A general manager may have his appointment revoked at any time by the board of directors.
Powers
The general manager performs the general management of a company and represents the company in its dealings with third parties. In order to carry out his duties he has the widest possible powers to act within the company’s objects, except for powers expressly reserved for general meetings of shareholders or those that are specifically attributed to the board of directors by law or articles of association, or within any limits that may have been defined by board resolution or by a general meeting of shareholders.
Restrictions on number of offices held
There are no restrictions on the number of other offices that the general manager may hold. However, given the onerous nature of the duties of a general manager, it seems that the situation of a general manager holding a large number of such offices would not often arise in practice
