A certificate of incorporation is an authorizing document signed by the Registrar of the Enterprise Creation Procedure Center acknowledging the examination and approval of all the established company documents in conformity with the laws governing the incorporation of a company in Cameroon.
What documents are examined and Approved by the Registrar of the Enterprise Creation Procedure Center?
- Notarized Articles of Association of the Company;
- Notarized statement of subscription of the company shares;
- Notarized certificate of appointment of company manager/director;
- Notarized statement of Declaration and Conformity with the provisions of the OHADA Law governing commercial companies and economic interest groups;
- Notarized Commercial Lease agreement/contract;
- Tax payers’ registration attestation of the company;
- Identification documents of the company shareholder(s), Manager or Director;
- Location plan of the company.
What information is included in the Certificate of Incorporation of the company in Cameroon?
- The name of the company;
- The contact address of the company;
- The registered office of the company;
- The registration number of the company from the Trade and Personal Property Rights Register; and
- The date of registration of the company.
